The November 3 staff response addresses specified network reward minting and registration provisions, relying on counsel’s representations and preserving explicit limits.

The SEC’s Division of Corporation Finance issued a conditional no-action response on November 3 covering the programmatic minting of Canton Coin by specified network participants. The response addresses registration under two securities-law provisions, based on the circumstances described by the requester’s counsel.

In its [published response](https://www.sec.gov/rules-regulations/no-action-interpretive-exemptive-letters/division-corporation-finance-no-action/canton-coin-110326), the division says it would not recommend enforcement action to the Commission if Super Validators, Validators and application providers mint the coin as described, relying on counsel’s opinion. It names Section 5 of the Securities Act and Section 12(g) of the Exchange Act.

That scope matters for participants producing network rewards. The stated staff position concerns a particular minting arrangement and the identified registration provisions. It does not describe approval of a new exchange listing or authorization for every transaction involving the token.

The division also expresses the view that Canton Coin is a digital commodity under the interpretation cited in the letter. It specifically relies on representations that the coin’s value comes from the network’s programmatic operation and supply and demand, rather than expected profits from others’ essential managerial efforts, and that the network has no central party as defined in that interpretation.

Those are representations supporting the staff response. The letter does not present them as findings from an independent network audit.

[Unchained’s November 4 report](https://unchainedcrypto.com/canton-coin-is-a-digital-commodity-sec-staff-say-in-letter-covering-network-rewards/) identifies the same minting scope and distinguishes the staff letter from Commission action.

The response answers an October 30 request. It warns that different facts or conditions could produce different conclusions and says its no-action position concerns enforcement only, without expressing a legal conclusion on the issues presented. Those qualifications remain part of the response’s practical meaning.
